3. Service Engagement

All services are subject to a written proposal or quotation. This outlines the scope of work. It details deliverables, timelines, and costs. Acceptance of a proposal constitutes agreement to these terms.

Services begin upon receipt of a signed agreement. An initial payment may be required. This will be specified in the proposal.
4. Client Responsibilities
4.1 Provision of Information
You must provide all necessary information. This includes content, images, and access credentials. Provide these promptly. Delays may impact project timelines.
4.2 Approvals and Feedback
You must provide timely approvals and feedback. This ensures project progression. Delays in feedback may extend project schedules.
4.3 Content Accuracy
You are responsible for the accuracy of all content. This includes text, images, and data. Ensure it complies with all applicable laws.
5. Payment Terms
5.1 Fees
All fees are detailed in the service proposal. They are exclusive of VAT, unless stated otherwise. Prices are in Pounds Sterling (GBP).
5.2 Invoicing and Payment
Invoices are issued as per the agreed schedule. Payment is due within 14 days of the invoice date. Late payments may incur charges.
5.3 Project Suspension
We reserve the right to suspend services. This applies if payments are overdue. Work will resume once all outstanding amounts are settled.
6. Intellectual Property
6.1 Client Content
You retain ownership of all content you provide. This includes text, images, and data. You grant us a licence to use this content for service delivery.
6.2 Edinpro Digital Work Product
Upon full payment, you own the final work product. This includes website designs and developed applications. We retain ownership of underlying tools, code, and methodologies.
7. Confidentiality
Both parties agree to keep confidential information private. This includes business strategies, client data, and project details. This obligation continues after the agreement ends.
8. Limitation of Liability
Edinpro Digital will not be liable for indirect losses. This includes loss of profit or data. Our total liability is limited to the fees paid for the specific service.
9. Termination
9.1 Termination by Client
You may terminate services with written notice. Notice periods are specified in your service agreement. Fees for work completed are still payable.
9.2 Termination by Edinpro Digital
We may terminate services with written notice. This applies if you breach these terms. Outstanding fees will become immediately due.
10. Governing Law
These Terms of Service are governed by Scottish law. Any disputes will be subject to the exclusive jurisdiction of the Scottish courts.
11. Changes to Terms
We may update these terms periodically. We will notify you of significant changes. Continued use of our services implies acceptance of the updated terms.
